Terms of Service
Please read these Terms of Service (“Terms”) carefully before using any product or service operated by Hexalveo Ltd. (“Hexalveo”, “we”, “us”, or “our”). By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By applying for a private pilot, accessing evaluation materials, or using any Hexalveo private MVP feature made available to you, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to these Terms and our Privacy Policy.
If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Description of Service
Hexalveo is developing Hexalveo Engine, a graph-native reasoning engine, and Hexalveo Studio, a visual workspace for inspecting structured reasoning artifacts (collectively, the “Service”). The Service is designed to decompose decisions into subproblems, claims, evidence, assumptions, constraints, risks, contradictions, stakeholders, information gaps, recommendations, and change conditions.
Hexalveo is currently in private MVP development. We are working with prospective design partners to validate decision workflows, domain requirements, and evaluation methods. During the private MVP period, the Service is provided in beta form for evaluation. Features, pricing, and availability are subject to change without notice.
3. Account Registration
To access certain private MVP features, you may need to register for an account or be invited to a pilot workspace. You agree to provide accurate, current, and complete information during registration and to update this information as necessary.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify Hexalveo promptly through the configured security contact if you suspect unauthorised account use.
You may not share account credentials, create accounts by automated means, or register on behalf of someone else without authorisation.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Generate, distribute, or promote content that is illegal, harmful, defamatory, or discriminatory.
- Submit false, misleading, or fraudulent information to the Service or to third parties using Service outputs.
- Attempt to reverse-engineer, decompile, or extract non-public source code, model artifacts, or implementation details.
- Circumvent rate limits, access controls, or other technical restrictions.
- Use the Service to build a competing product without prior written consent from Hexalveo.
- Process sensitive personal data without implementing appropriate safeguards and obtaining necessary consents.
Hexalveo reserves the right to suspend or terminate accounts that violate these restrictions without prior notice.
5. Intellectual Property
Hexalveo IP
The Service, including all underlying models, algorithms, software, documentation, trademarks, and trade dress, is the exclusive property of Hexalveo Ltd. and its licensors. Nothing in these Terms grants you any ownership rights in the Service.
Your content
You retain ownership of any queries, data, or content you submit to the Service (“Your Content”). By submitting Your Content, you grant Hexalveo a limited, non-exclusive licence to process it solely for the purpose of providing the Service to you.
Outputs
Subject to these Terms and applicable law, you own the outputs generated by the Service in response to Your Content. You are solely responsible for how you use, interpret, and rely on those outputs.
6. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to data collection and use as described in the Privacy Policy.
7. Beta Services and Early Access
The Service may be provided in private MVP, beta, or early access form. Beta services may be incomplete, contain bugs, and are provided for evaluation purposes only. We do not offer SLA guarantees for beta services.
Feedback you provide about beta services may be used by Hexalveo to improve the Service without obligation to you.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF OUTPUTS.
HEXALVEO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. OUTPUTS GENERATED BY THE SERVICE SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR CONSEQUENTIAL DECISIONS, INCLUDING MEDICAL, LEGAL, FINANCIAL, OR SAFETY-CRITICAL DECISIONS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEXALVEO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
HEXALVEO’S TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO HEXALVEO IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100 USD IF NO AMOUNTS HAVE BEEN PAID.
10. Indemnification
You agree to indemnify, defend, and hold harmless Hexalveo Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, Your Content, or your violation of these Terms or applicable law.
11. Termination
You may terminate your account at any time by contacting [email protected]. Upon termination, your right to use the Service ceases immediately.
We may suspend or terminate your access to the Service immediately and without notice if we determine that you have violated these Terms or that your use poses a risk to the Service or other users.
Sections 5 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law) survive termination.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction for matters involving intellectual property or confidentiality.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
13. Changes to Terms
We may revise these Terms at any time. When we make material changes, we will notify registered users by email and update the “Last updated” date above. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
14. General Provisions
These Terms constitute the entire agreement between you and Hexalveo regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision. These Terms may not be assigned by you without our prior written consent.
